By participating in the Sweepstakes (as defined below), you agree to be fully and unconditionally bound by the Sweepstakes Rules and the associated Specific Promotion, and you represent and warrant that you meet the eligibility requirements set forth herein. You further agree to accept the decisions of Toolbox Beauty as final and binding.

1. General Rules. These Sweepstakes Rules apply generally to any sweepstakes promotion (each, a “Sweepstakes”) sponsored by Toolbox Beauty LLC (“Toolbox Beauty”). Specific details related to entry, prizes, and other special terms for any specific sweepstakes promotion (“Specific Promotion”) will be digitally posted on the associated on the associated Sweepstakes announcement (e.g., website, social media post, etc.) (“Giveaway Announcement”) for the Specific Promotion and will outline any additional information or special notices relating to the Sweepstakes. Insofar as is permitted by law, by entering the Sweepstakes, entrant agrees to hold Toolbox Beauty harmless and that Toolbox Beauty will not be liable to compensate the winner for any loss, damages or expenses (including but not limited to direct, indirect, incidental, punitive and consequential damages, unless otherwise specified in writing), which are caused or claimed to be caused, in whole or in part, directly or indirectly, by participating in the Sweepstakes or by acceptance or use of a prize (including any travel or activity-related thereto); this release shall include liability for death and personal injury occurring as a result of taking up the prize except where it is caused by the negligence of Toolbox Beauty or that of their employees. Your statutory rights are not affected.

All incidentals not otherwise described herein and incurred by any winner will be the sole responsibility of the winner.

2. Eligibility. Unless otherwise noted in the Specific Promotion, the Sweepstakes are open and offered only to legal residents of California who are at least eighteen (18) years of age and have reached the age of majority in their jurisdiction of residence at the time of entry. You must have internet access, and for certain promotions, you must have a mobile device prior to the start of the Specific Promotion. Employees of Toolbox Beauty and their immediate families (e.g., parent, child, sibling, or spouse) and/or household members of respective parent companies, subsidiaries, affiliates, distributors, sales representatives, advertising and promotional agencies, and any other person or entities associated with the Specific Promotion are not eligible to participate in the Sweepstakes.

3. Sponsor. All Sweepstakes are sponsored by Toolbox Beauty. Additional sponsors, if any, will be noted in the Specific Promotion.

4. Sweepstakes Period. All Sweepstakes Promotions shall include an end date on the Giveaway Announcement (the “Sweepstakes End Date”). All entries must be received by the Sweepstakes End Date and time to be eligible to win, according to Toolbox Beauty’s time clock. The end time, unless otherwise noted, shall always be 11:59 PM Pacific Time, regardless of Daylight Savings Time, according to Toolbox Beauty’s internal time clock. Toolbox Beauty is not responsible for any misdirected or otherwise late entries.

5. How to Enter. The method of entry is specific to each Sweepstakes and shall be described in the Specific Promotion. Only the entry method specified in the Specific Promotion is allowed. All other entries will be disregarded.

6. Limitations. Unless otherwise noted, only one (1) entry is allowed per natural person per Specific Promotion. A change in this limit, if any, will be set forth in the Specific Promotion. Attempts to obtain more than the stated number of entries by using multiple/different emails, identities, registrations, logins, or any other method to circumvent this limitation shall void that entrant’s entries and the entrant may be disqualified. Use of automated systems to participate is prohibited and may result in disqualification. In the event of a dispute as to any registration, the authorized holder of the account, email, or other information used to enter into the Sweepstakes will be deemed to be the entrant. Each potential winner may be required to show proof of being the authorized account holder.

7. Odds of Winning. The winner(s) of the Sweepstakes will be selected in a random drawing from among all eligible entries received before the Sweepstakes End Date. Therefore, the odds of winning will depend on the number of eligible entries received before the Sweepstakes End Date and the number of prizes available.

8. Winner Selection and Notification. Winners will be notified in a manner consistent with the method of entry used to enter into a Specific Promotion. Toolbox Beauty’s decisions as to the administration and operation of the Sweepstakes and the selection of the potential winner are final and binding in all matters related to the Sweepstakes. Toolbox Beauty will select winners within two (2) weeks following the end of the Sweepstakes Period. Unless otherwise specified in the Specific Promotion, winners will have seventy-two (72) hours to respond to notifications stating they won and to claim the prize. An entrant’s failure to respond to the notification within the relevant timeframe may result in prize forfeiture. Toolbox Beauty is not responsible for any delay or failure to receive notifications for any reason, including inactive email account(s), technical difficulties, or a winner’s failure to adequately monitor the relevant communication methods. No transfer, cash equivalent, or other substitution of any prize is permitted except Toolbox Beauty may substitute any prize in whole or in part for one of comparable or greater retail value for any reason.

The potential winner may also be sent a declaration of eligibility, release of liability and publicity release (the “Release”). Unless restricted by law, the potential winner may be required to complete and return the Release within five (5) days from the date of notification.

If a potential winner fails to provide all necessary documentation and responses pursuant to these Sweepstakes Rules or the applicable Specific Promotion or cannot receive the prize for any reason or is otherwise disqualified for any reason, Toolbox Beauty may select alternative winner(s) from among the remaining eligible entries and begin the prize granting process with those alternative winner(s).

Prizes will be fulfilled as soon as reasonably possible after the conclusion of the Sweepstakes and the winner(s) have satisfied their obligations hereunder.

9. Publicity. By submitting an entry to the Sweepstakes, the entrant irrevocably grants, except where prohibited by law, Toolbox Beauty and their respective successors, assigns, and licensees, the right to use the entrant’s name, persona, biographical information (e.g., hometown), likeness, and opinions in any and all media for any purpose, including without limitation, commercial, advertising, and promotional purposes, as well as, on, or in connection with the Toolbox Beauty website or social media accounts. As a condition of being awarded any prize, except where prohibited by law, each winner may (in Toolbox Beauty’s discretion) be required to execute a written consent, confirming Toolbox Beauty’s right to use such winner’s name, likeliness, persona, biographical information, etc., without further permission or compensation. The entrant hereby releases Toolbox Beauty from any liability with respect thereto unless prohibited by law.

10. Travel. All meals (except where otherwise indicated), ground transportation and incidentals not otherwise described herein and incurred by the prize winner will be the sole responsibility of the winner. Toolbox Beauty will determine which airport is closest to winner’s home; if winner resides within a 100-mile radius of the destination specified in the prize description, Toolbox Beauty reserves the right to substitute round-trip ground transportation from winner’s home to/from winner’s residence in lieu of air transportation. No compensation will be awarded in lieu of the difference in the ARV for the prize for a local resident and the ARV for a prize winner who is not a local resident. Travel is subject to availability. Winner is responsible for obtaining all necessary travel documents. Travel arrangements must be made through Toolbox Beauty’s agent and on an airline of Toolbox Beauty’s choice. Certain travel restrictions may apply. Winner is also responsible for obtaining travel insurance (and all other forms of insurance at their option and hereby acknowledge that Toolbox Beauty has not obtained and will not obtain or provide travel insurance or any other form of insurance.   No refund or compensation will be made in the event of the cancellation or delay of any flight except at Toolbox Beauty’s sole discretion.  Travel is subject to the terms and conditions set forth in these Sweepstakes term, and those set forth by Toolbox Beauty’s airline carrier of choice as detailed in the passenger ticket contract. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the prize winners’ transportation, and such contracts shall be solely between the prize winner and such transportation companies. Lost, stolen, or damaged airline tickets will not be replaced or exchanged.

TOOLBOX BEAUTY SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS OR SUBSTITUTIONS OR ANY ACT OR OMISSIONS WHATSOEVER BY ANY AIR CARRIER(S) OR OTHER TRANSPORTATION COMPANIES, LODGING AND/OR OTHER HOSPITALITY PROVIDERS, ENTERTAINMENT PROVIDERS OR SIMILAR THIRD PARTIES, OR ANY OTHER PERSONS PROVIDING ANY OF THESE SERVICES TO WINNERS, (INCLUDING BUT NOT LIMITED TO COSTS OR INJURIES) THEREOF, SUCH AS CHANGES IN SERVICES OR ACCOMMODATIONS NECESSITATED BY THE SAME.

In the event winner engages in behavior during travel or any component of the prize that (as determined by Toolbox Beauty) is obnoxious or threatening or illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image and/or customer goodwill of Toolbox Beauty or any of Toolbox Beauty’s services, products, trademarks, service marks or logos, Toolbox Beauty reserves the right to terminate the travel early and send winner home with no further obligations or compensation whatsoever to winner and (which may, in Toolbox Beauty’s discretion, result in such winner’s disqualification from the Sweepstakes and forfeiture of  prize). In the event winner engages in behavior during travel that (as determined by Toolbox Beauty) is illegal, tortious, or subjects winner or guest to arrest or detention, Toolbox Beauty shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by winner as a result of such conduct.  TOOLBOX BEAUTY SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF PRIZE WINNER’S OR GUEST’S ACCEPTANCE OR USE OF THE PRIZE.

11. General Conditions. Toolbox Beauty reserves the right to cancel, suspend, and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, or any factor beyond Toolbox Beauty’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Toolbox Beauty in its sole discretion. Such force majeure conditions include, without limitation, weather-related malfunctions, communication malfunctions, pandemic, mail delivery delays, and other issues. Toolbox Beauty reserves the right in its sole discretion to disqualify any individual it finds tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Sweepstakes Rules of the Specific Promotion or otherwise acting in a disruptive or unsportsmanlike manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of applicable law, and should such an attempt by made, Toolbox Beauty reserves the right to seek damages from any such person to the fullest extent permitted by applicable law.

The Sweepstakes Rules and Specific Promotion will be governed, construed and interpreted under the law of the state of California.

Toolbox Beauty’s failure to enforce any term of these Sweepstakes Rules or the Specific Promotion shall not constitute a waiver of that provision. In the event that Toolbox Beauty modifies or makes changes to these Sweepstakes Rules, those changes will not affect any ongoing Specific Promotion yet will affect any subsequent Specific Promotion. The date of when these Sweepstakes Rules were last modified is found at the top of this page. The invalidity or unenforceability of any provision of these Sweepstakes Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable, these Sweepstakes Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid provisions were not contained herein.

12. Limitations of Liability. By participating in the Sweepstakes, entrants agree to release, discharge, defend, indemnify, and hold harmless Toolbox Beauty, its parents, subsidiaries, affiliates, the prize providers, and their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including but not limited to: (i) any incomplete or inaccurate information, whether caused by entrants,  printing errors, or any equipment or programming associated with or utilized in the Sweepstakes; (ii) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections; (iii) any damage to an entrant’s or any other person’s property, computer system, or mobile phone in connection with participation in the Sweepstakes; (v) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (vi) late, lost, undeliverable, damages, or stolen entries; or (vii) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize.

If for any reason entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. If the Sweepstakes, or any part of it, is discontinued for any reason, Toolbox Beauty, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prize offered.

13. Use of Data; Privacy. Any personally identifiable information collected during an entrant’s participation in the Sweepstakes may be collected by Toolbox Beauty and used by Toolbox Beauty and its respective parent companies, subsidiaries, affiliates, agents, and marketers for purposes of the proper administration and fulfillment of the Sweepstakes. In addition, by entering, entrants agree to Toolbox Beauty’s use of entrant’s personal information as described in the Toolbox Beauty Privacy Policy. 

By entering any Specific Promotion, entrants agree to receive future marketing communications from Toolbox Beauty regarding promotional offers and product information. Entrants may opt out of receiving further communications by following the instructions contained in Toolbox Beauty’s email communication.

14. Third-Party Platforms. If the Sweepstakes is hosted, administered, or operated on a third-party platform, including social media platforms (the “Third-Party Platform(s)”), then by participating in the Sweepstakes, entrants hereby release and agree to comply with all rules, policies, and guidelines set forth by such Third-Party Platforms. Unless otherwise expressly stated in the Specific Promotion, the Sweepstakes are not sponsored, endorsed, or administered by, or associated with, any Third-Party Platforms. Any questions, comments, or complaints regarding the Sweepstakes must be directed to Toolbox Beauty only, not to any Third-Party Platform.

15. Winner List. To request confirmation of the winner(s), please check the Giveaway Announcement, which should identify the winner. In the event the method of notification is not public, please send an email to care@toolboxbeauty.com with the subject line of WINNERS LIST and provide a link to the Specific Promotion in question, along with the Sweepstakes End Date. We must receive your request within 90 days of the Sweepstakes End Date.
